1. Agreement Overview
These Terms of Service ("Terms") govern your access to and use of Rulestack ("Service"), operated by Rulestack ("we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Eligibility: You must be at least 18 years old and have the legal capacity to enter into contracts. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Service Description
Rulestack is a context management platform for AI tools that provides:
- Creation and organization of rules containing guidelines
- MCP (Model Context Protocol) server for programmatic access by AI tools
- Team workspace features for collaboration
- Integration with third-party AI services (ChatGPT, Claude, etc.)
Important: Rulestack is NOT an AI provider. We facilitate the delivery of context to third-party AI services. The AI services themselves are provided by OpenAI, Anthropic, and other third parties under their respective terms.
3. Account Terms
- You must provide accurate and complete registration information.
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately of any unauthorized access to your account.
- Account sharing is prohibited. Each user must have their own account.
- Workspace administrators are responsible for managing team member access and permissions.
4. Intellectual Property
Our Intellectual Property
Rulestack owns all rights to the Service, including the platform code, design, trademarks, and documentation. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service.
Your Content
You retain full ownership of all content you create or upload, including:
- Guidelines, rules, and context configurations
- Uploaded documents and source files
- Custom prompts and templates
License to Rulestack
You grant us a non-exclusive, worldwide, royalty-free license to host, store, display, and process your content solely for the purpose of providing and improving the Service.
No AI Training
We do NOT use your content to train AI models. Your guidelines, rules, and context are used only to deliver context to AI services at your direction.
5. Acceptable Use Policy
You agree NOT to:
- Use the Service for illegal activities or to violate any laws
- Upload content that is harassing, hateful, violent, or discriminatory
- Distribute malware or attempt to compromise system security
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to develop a competing product
- Circumvent usage limits by creating multiple free accounts
- Violate the terms of third-party AI providers when using integrations
- Interfere with other users' access to the Service
AI-Specific Provisions
- You are responsible for the content of prompts and context you create
- Do not use the Service to generate harmful, illegal, or deceptive AI outputs
- You must comply with OpenAI, Anthropic, and other AI providers' usage policies when using their services through Rulestack
6. Third-Party Integrations
The Service integrates with third-party AI services via OAuth and MCP.
- Connections to third-party services are initiated at your discretion.
- Rulestack is not responsible for the availability or functionality of third-party services.
- You must comply with the terms of service of each third-party service you connect.
- Rulestack facilitates data transfer to connected services but does not control how those services use your data.
7. Workspace & Team Provisions
If you create or join a workspace:
- Administrators are responsible for workspace settings, member management, and billing.
- Team members consent to workspace administrators viewing shared content and activity logs.
- Content shared within a workspace is accessible to other workspace members according to their permissions.
- Administrators may access, modify, or delete team member content within the workspace.
8. Service Levels
- Uptime Target: 99.9% availability, excluding scheduled maintenance.
- Maintenance: We may perform maintenance with advance notice when possible.
- Third-Party Services: Availability of AI integrations depends on third-party providers.
- No Guarantee: We do not guarantee uninterrupted or error-free service.
9. Fees & Payment
- Free Tier: Limited features and usage available at no cost.
- Subscriptions: Paid plans are billed monthly or annually in advance.
- Price Changes: We will provide 30 days notice before price increases.
- Refunds: No refunds for partial subscription periods.
- Auto-Renewal: Subscriptions automatically renew unless cancelled. You may cancel at any time before the next billing period.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability is limited to the greater of (a) fees paid in the 12 months preceding the claim, or (b) $100 for free users.
- We are not liable for indirect, incidental, special, consequential, or punitive damages.
- We are not liable for loss of data, profits, or business opportunities.
Exceptions: These limitations do not apply to liability for gross negligence, willful misconduct, or indemnification obligations.
11. Indemnification
Our Indemnification: We will defend and indemnify you against third-party claims alleging that the Service infringes intellectual property rights.
Your Indemnification: You will defend and indemnify us against claims arising from:
- Your content violating third-party rights
- Your violation of these Terms
- Your misuse of the Service or AI integrations
12. Termination
- By You: You may cancel your account at any time through Settings.
- By Us: We may suspend or terminate your account for material breach of these Terms.
- Data Export: Upon termination, you have 30 days to export your data.
- Survival: Sections on intellectual property, liability, and dispute resolution survive termination.
13. Dispute Resolution
Governing Law: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
Informal Resolution: Before filing a claim, you agree to contact us at legal@rulestack.co to attempt to resolve the dispute informally for at least 30 days.
Arbitration: Any disputes not resolved informally will be resolved by binding arbitration under JAMS rules. Arbitration will be conducted in English.
Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions.
14. Changes to Terms
- We may update these Terms from time to time.
- For material changes, we will provide at least 30 days notice via email or in-app notification.
- Your continued use of the Service after changes indicates acceptance.
- If you do not agree to updated Terms, you must stop using the Service.
15. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rulestack.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- No Waiver: Our failure to enforce a provision does not waive our right to enforce it later.
- Assignment: You may not assign these Terms. We may assign them in connection with a merger or acquisition.
